Welcome to AutoCapture.ai. These Terms of Service ("Terms") govern your access to and use of the autocapture.ai website and the AI advertising, lead generation, and SMS engagement services we provide (collectively, the "Services"). By accessing the Site or engaging our Services, you agree to be bound by these Terms. If you do not agree, do not use the Site or Services.

These Terms form a binding agreement between you ("you" or "Customer") and AutoCapture.ai ("we," "us," "our," or "the Company"). If you are entering into these Terms on behalf of a dealership or company, you represent that you have the authority to bind that entity.

1. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use our Services. By using the Services, you represent and warrant that you meet these requirements.

2. Our Services

AutoCapture.ai provides AI-powered advertising, lead generation, and SMS engagement services for clients across multiple industries including automotive and financial services. Services include on-site video capture, AI script and voiceover production, YouTube and social advertising, lead capture, compliant SMS outreach, and performance reporting. The specific scope of Services provided to you will be described in a separate service agreement, proposal, or statement of work. In the event of a conflict between these Terms and a signed service agreement, the signed agreement controls.

3. Customer Responsibilities

You agree to:

  • Provide accurate, current, and complete information when contacting us or setting up an account
  • Maintain the security of any account credentials or payment information
  • Provide timely access to inventory, locations, and assets needed to perform the Services
  • Ensure that any content, data, or media you provide does not infringe the rights of any third party
  • Comply with all applicable laws, including telephone consumer protection and telemarketing laws
  • Use the Services only for lawful business purposes

4. SMS and Telephone Communications

As part of our Services, we may contact you by SMS text message and telephone. By providing your phone number, you consent to receive such communications, including messages sent using an automatic telephone dialing system. You may opt out at any time by replying STOP to any SMS message or by contacting us. Message and data rates may apply. See our SMS Terms & Conditions and Privacy Policy for details.

5. Payment and Billing

Fees for Services are described in your service agreement or invoice. Payments are processed securely through Stripe. Unless otherwise agreed, invoices are due upon receipt. You are responsible for all charges incurred, including any applicable taxes. We may suspend Services for accounts with past-due balances after providing notice.

6. Intellectual Property

6.1 Our Content

The Site, our branding, software, AI models, scripts, templates, and methodology are owned by AutoCapture.ai and protected by intellectual property laws. You may not copy, modify, distribute, or reverse-engineer any of our proprietary materials without written permission.

6.2 Customer Content

You retain ownership of the data, media, and marketing materials you provide to us. You grant us a license to use that content solely to perform the Services, including producing videos, generating scripts, running advertising campaigns, and sending SMS communications on your behalf. You represent that you have all rights necessary to grant this license.

6.3 Produced Assets

Finished video assets, scripts, ad creative, and SMS content produced for you under a paid service agreement are licensed to you for use in your business marketing. AutoCapture.ai retains the right to display completed work in our portfolio and marketing materials unless you request otherwise in writing.

7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and to use it only for the purpose of performing or receiving the Services. This obligation survives termination of any service agreement.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee specific results, including advertising performance, view counts, leads, or sales. Marketing outcomes depend on many factors outside our control.

9. Limitation of Liability

To the maximum extent permitted by law, AutoCapture.ai and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or related to the Services. Our total aggregate liability for any claim arising from the Services shall not exceed the amount you paid us for the Services in the three months preceding the claim.

10. Indemnification

You agree to indemnify and hold AutoCapture.ai harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of the Services, or your violation of any law or third-party right.

11. Termination

We may suspend or terminate access to the Services if you breach these Terms or fail to pay amounts due. You may stop using the Services at any time. Provisions that by their nature should survive termination (including payment, intellectual property, confidentiality, and limitation of liability) will remain in effect.

12. Governing Law

These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles. Any disputes will be resolved in the state or federal courts located in Montgomery County, Ohio.

13. Changes to These Terms

We may update these Terms from time to time. We will revise the "Last updated" date when we do. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
